1. Agreement to Terms

By accessing and using the Velum.Works website and services (the "Service"), you accept and agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Velum.Works.

If you do not agree to these Terms, you must not access or use the Service. By creating an account, you represent that you are at least 18 years of age or have the consent of a parent or guardian.

2. Description of Service

Velum.Works is an AI-powered email management platform that provides:

• Smart email categorization and sorting
• AI-powered spam filtering and detection
• Email draft assistance and suggestions
• Integration with third-party email providers (Gmail, IMAP)

The Service requires you to authorize access to your email accounts. This access is used solely to provide the described functionality and is governed by our Privacy Policy.

3. Account Registration and Security

To use the Service, you must create an account. You are responsible for:

• Providing accurate and complete registration information
• Maintaining the security of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Keeping your contact information current

We reserve the right to suspend or terminate accounts that violate these Terms, engage in abusive behavior, or pose a security risk.

4. Email Account Authorization

To use our email management features, you must authorize Velum.Works to access your email accounts via OAuth or IMAP credentials. By doing so, you:

• Grant us permission to read, organize, and categorize your emails
• Authorize AI processing of email content for sorting and filtering
• Understand that you can revoke access at any time
• Confirm you have the authority to grant such access

We handle your email data in accordance with our Privacy Policy and Security Practices.

5. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Send spam, unsolicited messages, or mass communications
• Transmit malware, viruses, or harmful code
• Engage in harassment, abuse, threats, or fraudulent activity
• Access or tamper with the Service infrastructure or security
• Impersonate others or misrepresent your affiliation
• Attempt to reverse engineer or circumvent security measures
• Use automated tools to access the Service without authorization
• Violate the terms of your email provider

Violation of this policy may result in immediate account termination.

6. Intellectual Property Rights

The Service and its entire contents, features, and functionality—including all information, software, algorithms, text, displays, images, video, and audio—are owned by Velum.Works or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.

7. Your Content

You retain all rights to content you provide to or through the Service, including your emails. By using Velum.Works, you grant us a limited, worldwide, non-exclusive, royalty-free license to:

• Process and display your content to provide the Service
• Create encrypted backups for data protection
• Analyze content for spam detection and categorization
• Comply with legal requirements

We do not use your content for advertising or sell it to third parties.

8. Subscription and Payment

Velum.Works offers both free and paid subscription tiers. By subscribing to a paid plan:

• You authorize recurring charges according to your billing cycle
• Fees are billed in advance and are non-refundable except as required by law
• You may cancel at any time; access continues until the end of the billing period
• We may change pricing with 30 days' notice

Payment processing is handled by Stripe. We never store your complete credit card information.

9. Free Trial

We may offer a free trial of premium features. After the trial period:

• Your account will convert to a free tier unless you subscribe
• No automatic charges will occur without your consent
• Trial eligibility is limited to one per user

10. Service Availability

We strive to provide reliable service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled or emergency maintenance
• Third-party service outages (email providers, infrastructure)
• Circumstances beyond our control

We will make reasonable efforts to notify you of planned downtime.

11. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be error-free, secure, or available at all times. AI features provide suggestions and may not be perfectly accurate.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VELUM.WORKS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL.

OUR TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Velum.Works and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including attorneys' fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of third parties
• Content you provide through the Service

14. Termination

Either party may terminate this agreement at any time:

• You: Cancel your account through settings or by contacting us
• Us: Suspend or terminate for Terms violations or at our discretion with notice

Upon termination:

• Your access to the Service ends immediately
• Your data will be deleted within 60 days per our retention policy
• You may request data export before termination
• Provisions that should survive termination will remain in effect

15. Changes to Terms

We may modify these Terms at any time. Significant changes will be communicated via email and/or prominent notice on the Service. Your continued use after changes constitutes acceptance.

We encourage you to review these Terms periodically. The "Last updated" date indicates the latest revision.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except that either party may seek injunctive relief in court. Class action lawsuits and class arbitrations are waived.

17. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Velum.Works regarding the Service.
